The association's statutes<\/h1><\/div>

\u00a71 Name and registered office.<\/b><\/p>\n

Subsection 1. The name of the association is \u201cAssociation for Adverse Reactions \u2013 Covid19 Vaccination\u201d<\/p>\n

Subsection 2. The registered office of the association is Horsens Municipality.<\/p>\n

Subsection 3. The association is a national organization.
\n
\n\u00a72 Purpose.<\/b><\/span><\/p>\n

Subsection 1. The purpose of the association is to work towards the recognition, investigation and treatment of side effects after vaccination against Covid-19. The purpose is to increase knowledge about and disseminate complications after Covid-19 vaccination. The association is not political and does not work to discuss the handling of Covid-19 or vaccination in general.
\n
\n\u00a73 Admission of members, membership fees and exclusion<\/b><\/span><\/p>\n

Subsection 1. Membership is open to anyone who is or has been affected by side effects after Covid-19 vaccination, their relatives and others who wish to support the association's purpose. Members under the age of 15 must, however, be represented by a parent or guardian.<\/span><\/p>\n

Subsection 2. Registration takes place via the association's website.<\/p>\n

Subsection 3. Members shall pay a membership fee determined by the general meeting. The membership fee shall be collected in advance of each financial year. The financial year shall be the period 1 August \u2013 31 July.<\/p>\n

Subsection 4. Membership is only valid when the member has paid the membership fee.<\/p>\n

Subsection 5. Membership gives access to the events and meetings held by the association.<\/p>\n

Subsection 6. Resignation may be made by written notification to the association. Paid membership fees will not be refunded.<\/p>\n

Subsection 7. In the event of non-payment of dues, the member will be deregistered if the payment deadline is exceeded by 2 months.<\/p>\n

Section 8. Anyone who speaks on behalf of the association without the approval of the board or otherwise abuses the association will automatically be excluded and deregistered from the association. An exclusion must be confirmed at the association's next general meeting. The general meeting may also exclude a member who has not previously been excluded by the board.

\n\u00a74 General Assembly<\/b><\/span><\/p>\n

Subsection 1. The general meeting is the association's highest authority.<\/p>\n

Subsection 2. The ordinary general meeting shall be held once a year before the end of November and shall be convened with at least four weeks' notice by announcement on the association's social media.<\/p>\n

Proposals for the general meeting must be received by the board of directors no later than two weeks before the general meeting. The first annual general meeting will be held before the end of November 2024.<\/p>\n

Subsection 3. The agenda for the annual general meeting must contain at least the following items:<\/p>\n

1. Election of conductor<\/p>\n

2. Selection of referee<\/p>\n

3. Selection of two tellers<\/p>\n

4. Board of Directors' report<\/p>\n

5. Approval of the annual accounts<\/p>\n

6. Determination of quota<\/p>\n

7. Discussion and\/or decision on submitted proposals<\/p>\n

8. Elections to the board of directors<\/p>\n

9. Election of 2 auditors and 1 deputy auditor<\/p>\n

10. Optional<\/p>\n

Subsection 4. Each member has 1 vote. To be entitled to vote, a member must have been a member for at least 3 months prior to the general meeting. Decisions are made by simple majority. However, amendments to the articles of association require 2\/3 of the association's members. If 2\/3 of the association's members are not present at the general meeting, the board of directors may call an extraordinary general meeting at least 5 weeks later.<\/p>\n

Subsection 5. Proposals for amendments to the articles of association shall be submitted no later than two weeks before the general meeting. Proposals for amendments to the articles of association must be justified. Proposals for amendments to the articles of association and the justification shall be sent to the members together with the agenda of the general meeting.<\/p>\n

Subsection 6. Decisions may only be made on items that appear on the agenda.<\/p>\n

Subsection 7. Only members who have paid their membership fees have the right to vote at the general meeting.<\/p>\n

Subsection 8. Members who are unable to attend the general meeting may vote by proxy. However, a member present at the general meeting may only vote on behalf of 10 proxies in addition to his or her own vote.<\/p>\n

Section 9. Voting at the general meeting shall be in writing and\/or by online voting. A secret ballot shall be held if only one member so requests.<\/p>\n

Subsection 10. An extraordinary general meeting shall be held when a majority of the board of directors so requests or when 2\/3 of the association's members request the board of directors to convene it.<\/p>\n

Subsection 11. At the general meeting, at least 5 members and 2 alternates shall be elected to the association's board of directors. Board members shall be elected for a 2-year period. In the founding year, however, two of the board members shall only be elected for one year. Alternates shall be elected for one year at a time. Alternates shall participate in board meetings with the right to speak but without the right to vote.<\/p>\n

Subsection 12. At the general meeting, 2 auditors and 1 deputy auditor are elected. The auditors' task is to check whether the accounts are correct and that the association complies with its own articles of association and other laws and regulations. The auditors also present their comments on the annual accounts at the general meeting.
\n
\n\u00a75 The association's management, subscription and liability<\/b><\/span><\/p>\n

Subsection 1. The board members elected at the general meeting constitute themselves with a chairman\/spokesperson, a vice-chairman, a treasurer and two board members.<\/p>\n

Subsection 2. The board of directors is responsible for the association's operations and finances, and presents accounts once a year at the general meeting.<\/p>\n

Subsection 3. The board of directors is not personally liable, but only for the association's assets.<\/p>\n

Subsection 4. The board of directors shall determine its own rules of procedure.

\n\u00a76 Dissolution of the association<\/b><\/span><\/p>\n

Subsection 1. In the event of the dissolution of the association, the association's funds must be given to one or more purposes for the benefit of those affected by side effects after Covid-19 vaccines.<\/p>\n<\/div><\/div><\/div>
